US and UK Professional Services Marketing Agreement

How do I get an agreement where two parties, engaged in professional services, a US LLC and a UK LLP who are already established, share the common costs of marketing, utilizing common name, technology and revenue share for any joint client work? How much would the creation of an agreement like this cost? Many thanks.

  • I think it depends on what type of professional services and related you are talking about, but I would say probably in the $4k - $8k range from a small firm. Multiply by 3 for a large firm. Also helps if they have done it once or twice before.

  • Great question. I actually have drafted many of these type of agreements over the years. Depending on the complexity of the deal, the cost could range significantly. However, a ball park number would be approximately $500 to $800.
  • I would need more information before rendering specific advice and estimate costs. The arrangement might be a simple license agreement for the name and technology or a more complicated franchise relationship. If the client would like to call me we can discuss this in detail.
  • This is beyond my expertise, so I observe only that the cost would probably range widely depending on the professional services involved in the LLC and LLP, and the extent of the joint activities contemplated. This looks like a joint venture, that will need to provide at least for joint decision making and dispute resolution, ownership and usage of the common name and any intellectual property created in the joint activities, and the handling of professional liabilities arising from joint activities.

  • Hello International Companies,

    This appears to be a joint venture agreement between two parties - US and UK companies. The joint venture agreement, which is different than a partnership agreement, would specify the exact terms and conditions that the two companies would operate under, including all the items you listed in the email.

    Moreover, you should also be cognizant of choice of law, jurisdiction, dispute resolution, and termination issues as it relates to international transactions, as members of each entity may and most likely will be in different countries. For example, if a dispute arises over the revenue sharing, does US or UK law govern and which federal district court will the case be heard in?

    The cost of drafting such an agreement ranges from $200-$400 per hour, and our law firm charges $250 per hour.
