Does any body have experience or can share with me Fundless Sponsor Structure or Agreement or Operating Partner Agreement?

Fundless Sponsor Agreement and Operating Agreement btw my firm and potential investor.

My firm will provide the following services for potential Investor:
§ Prepared Business Plan and organize acquisition process
§ Has already a qualified CEO and Management Team
§ Assist the equity sponsor and lenders as required to close the transaction

Fee: Admisitration Fee, Management Fee, Share in Carry + Share in Exit.
  • Generally, the sponsor's economics mirror those for a "committed" fund, two major differences being the ad hoc approval process and that admin fees tend to only be payable once capital is invested in a deal. You also have flexibility to have different LPs in different investments, or the same LPs with different size pieces in different investment. In the committed fund structure, that is all locksetp.
  • Yes, I've done a number of these. The documents tend to be somewhat similar to those of blind funds, but you will need to get more specific in the disclosure with regards to the identified investment, since you won't have the discretion to choose and trade your investment portfolio.
