Vanessa J. Schoenthaler is a founding member of Qashu & Schoenthaler LLP and the managing partner of the firm’s New York office.
Her practice focuses on complex business transactions, securities law, corporate finance, regulatory compliance and general corporate matters. She advises individuals and foreign and domestic public and private companies in a variety of undertakings, including fund formation and operation, private equity and venture capital transactions, private placements of equity, debt and hybrid securities, initial, secondary and alternative public offerings, exchange listings, corporate restructurings, mergers, acquisitions and dispositions, joint ventures and strategic alliances and matters of corporate governance and regulatory compliance.
Vanessa also advises individuals and entities with regard to a wide range of general corporate matters, including company formations, executive compensation, employment and consulting agreements, equity compensation plans, technology and licensing agreements and all manner of commercial contracts.
And she advises investment banks and broker-dealers with regard to registration, continuing membership, regulatory compliance matters and corporate financing transactions.
Vanessa has a B.A. in Political Psychology and American Government and Politics from Stony Brook University and a J.D. from Pace University School of Law, where she was the Editor-in-Chief of the law review and worked as a student law clerk for the Honorable Nina Gershon of the United States District Court for the Eastern District of New York. She is admitted to practice in New York and is a member of the New York State Bar.
