Private Placements: What happens if you fail to file Form D (or file it late)?

If you issue securities (such as equity in your startup) in a private placement (for example, if a VC fund takes a stake in your firm) under Regulation D, the Securities and Exchange Commission requires you to file Form D.  This article examines the consequences of failing to file Form D; the consequences are not drastic at the federal level, but as the article highlights, different states have their own takes on it.
