Deciphering the SEC’s New Definition of a “Venture Capital Fund”: Part 1 – An Overview

The Dodd-Frank Financial Reform Act, passed in the wake of the financial crisis in 2009, required certain financial pools of capital to register with the SEC.  However, it exempted "venture capital funds" from this requirement, and left it up to the SEC to determine exactly what a venture capital fund is.  The SEC recently defined the term, and this article begins a series looking at what qualifies (and what does not) and how this definition will impact the ability of small businesses to access funding.
