Cost to create a Limited Liability Company

  • Creation of Articles of Organization / Certificate of Formation - Approximately 1 hour (includes Q&A with client)
  • Creation of Operating Agreement - Approximately 4 - 6 hours, depending on the complexity of the ownership structure and the number of owners
  • Filing fees with the applicable Secretary of State - Typically between $200 and $500 (depending on the state in which the LLC is created)
  • Obtaining an EIN and state tax I.D.# - This can be handled by the client, so often no attorney time is necessary

When it's all said and done, while hourly fees obviously vary quite a bit from attorney to attorney, the attorney cost to create an LLC should be in the neighborhood $1,200 (excluding state filing fees)

Bear in mind that a single-member LLC is quite a bit simpler than a multimember LLC - particularly the operating agreement - and as a result, the above fees are often reduced by 50% or so for a single-owner entity.
